Agilent Preventive Maintenance provides factory recommended service for your analytical
instruments to assure reliable operation and the accuracy of your results.
Delivered by highly trained and certified service engineers using genuine Agilent parts and
supplies, Agilent Preventive Maintenance provides what you need to reduce unplanned downtime
and keep your systems operating at their peak performance.
This checklist is used as a guide for completing the preventive maintenance tasks. A signed copy
of this checklist is provided for your records.

Introduction
Customer Information
• Customers should provide all necessary operating supplies upon request of the engineer
(HPLC grade water, 2-propanol).
• Installed columns and remaining samples have to be removed from the system by the
customer and the system has to be thoroughly flushed with appropriate storage solvent or
water prior to when preventive maintenance starts.
• A customer representative should be available to the engineer while performing the preventive
maintenance procedures. Customers are responsible for regular maintenance and are
encouraged to observe the service representative.
• Any parts not included in the Parts Lists section of this document are not part of the
recommended Preventive Maintenance service nor are they included in the price of this
service.
• If a system requires the use of extra or special procedures and/or parts for the maintenance
service, then these must be ordered separately and charged as a repair, which may incur
additional costs.
• It is the customer´s responsibility to ensure the safety of the service technician performing the
PM tests with respect to contact with the chemicals, solvents or any other hazardous
substances in the customer's facilities.

Service Engineer's Responsibilities
• Contact the customer and ensure that all necessary supplies are available before the
preventive maintenance visit.
• Only select those pages that relate to the system or module being serviced.
• Complete empty fields with the relevant information.
• Complete the relevant checkboxes in the checklist using either a “X” or tick mark " ".
• Check “Service not applicable” check boxes to indicate services/tasks not delivered, as
appropriate.
• Complete the Preventive Maintenance services in the most logical order relevant to the
individual system service in the order of the tasks listed.
• Complete the Service Review section together with the customer.
• Complete the fields for page numbers at the foot of each selected page.
• Add relevant page numbers to selected pages and complete the total number of pages field in
the Service Verification section.
• Complete Signature Page and attach Signature Page to Service Order.

This procedure requires a torque wrench.

Alternative Procedure (Classic Pump Heads)
This procedure requires the 1290 Infinity Pump head service kit.
Section NOT Applicable
Start "Remove/Install Pump Head" procedure (Agilent Lab Advisor Software).
Remove or lift up solvent inlets in order to avoid spilling solvent.
Remove the pump head assembly.
Follow the steps provided in the Agilent 1290 Infinity Pump Head Maintenance Technical Note
(1290IF_PumpHeadMaintenance_TN.pdf, SD-29000403).
Replace the pump seals.
Replace seal wash seals and gaskets (if applicable).
Replace the filter frit and seal cap of the high-pressure filter assembly.
Finish "Remove/Install Pump Head" procedure (Agilent Lab Advisor software).
Connect the solvent lines.
Purge the pump with isopropanol.
Replace the seal wash pump cartridge.
Perform Pump Leak Rate Test.
Perform System Pressure Test.
Reset EMF counters.

Verify the proper function of the drawer(s) and check that they are locked in position by the
clamping lever on the left side.
Replace the metering seal in the analytical head.
Replace the rotor seal.
Replace the needle assembly and perform auto referencing under operating conditions.
Replace the high-pressure needle seat assembly.
Verify the proper installation of the sample loop(s), especially check if sample loop(s) are
kinked or bent.
Replace the peristaltic pump cartridge (if applicable).
Purge the Multisampler with isopropanol for 5 min after finishing the above maintenance
steps.
Verify the correct position of the drain tubing.
Clean the instrument, especially the ventilation.
Clean the Sample Cooler, especially the ventilation openings, and verify the proper installation
and routing of the condensate drainage tubings (if applicable).
Clean the Sample Thermostat, especially the ventilation openings, and verify the proper
installation and routing of the condensate drainage tubings (if applicable).
Replace the dust filter kit (if applicable).
Check the proper function of the needle wash and needle seat backflushing (if applicable).
Perform System Pressure Test while port 6 of the injection valve is blocked with a blank nut.
If the Dual Needle option is installed, perform System Pressure Test twice, once for each
needle (if applicable).
Clean the Sample ID Reader camera surface using Lab Advisor Sample ID Reader Cleaning
Tool (if applicable).
Reset EMF counters.

Make a note of valve plumbing, column connections and locations as a reference for re-
installation.
Remove installed column(s).
Disconnect capillaries from the valve head (if applicable).
Replace the rotor seal of the installed valve (if applicable).
NOTE When reinstalling the stator, please make sure to fix the screws in a cross-wise pattern.
Connect capillaries and Quick Connect Heat Exchanger(s), but do not connect the column(s) to
the flow path (if applicable).
Purge the system with HPLC grade isopropanol for 10 min.
Perform System Pressure Test. If no valve is installed, install the blank nut in the outlet of the
Quick Connect Heat Exchanger. If there is a valve installed, perform the test for any two valve
positions using one of the appropriate connection schemes:
• When a 2 position/6 port or 2 position/10 port Quick Change Valve Head is installed, use a
blank nut to block the valve outlet.
• When a 4-, 6-, or 8-column selector Quick Change Valve Head is installed, mount a ZDV
union on the outlet capillary of the valve and block it with a blank nut.
Perform Thermostat Test.
Reset EMF counters.

Service Review
Attach available reports/printouts of all tests to this documentation.
Record the Preventive Maintenance service activity in the customer's records/logbook.
Record the PM event in the Smart Alerts logbook, if applicable.
Update/reset instrument maintenance counters as appropriate.
Make sure that the complete flow path is flushed with appropriate solvent after the service.
Affix the PM sticker to the system or instrument logbook based on the customer's request.
Complete the Service Engineer Comments section if there are additional comments.
Review this service, parts replaced, and test results obtained with the customer.
If the instrument firmware was updated, record the details of the change in the Service
Engineer's Comments box. Systems in a compliant environment may need additional
documentation.
Review the iBASE for completeness and correctness, update if not.
Complete Signature Page and attach Signature Page to Service Order.

□ If System/Initial tune passes, then print out the related Check tune report and proceed with
the Preventive Maintenance Tasks.
Note: If system tune fails. do not proceed with the Preventative Maintenance before discussing
the system's status with customer.

Main Preventive Maintenance Task Section
Inspection and exterior cleaning
□ Record current vacuum readings in the Test Results table.
□ Record detector voltage and note in Tests Results table – If above 900 V, recommend
detector to be exchanged.
• Note: Detectors are considered consumables and not covered by service contracts.
□ Inspect vacuum hose, rough pump exhaust tubing, and power cords for excessive wear.

Plate Mount, T-nuts, Vcap Spacer, Contact Rings, Capillary Insulator, and End Capillary Cap.

□ Remove the modular optics rail from the vacuum manifold.

Guidance
If the PM Service is performed prior to a qualification service, then use the qualification procedure
as a guide for final instrument set up and checkout.

ostja), mida esindab põhimääruse alusel direktor Ivar Prits
ja
Quantum Eesti AS, registrikood 10832463, asukoht Tiigrisilma tn 8, Räni alevik, Kambja vald, Tartumaa
61708 (edaspidi müüja), mida esindab juhatuse liige Martin Lepiku,
edaspidi eraldi pool või koos pooled, sõlmisid müügilepingu (edaspidi leping) alljärgnevas:
1. Üldsätted
1.1. Leping on sõlmitud riigihanke „Kvadrupool-lennuaja massispektromeeter koos
vedelikkromatograafiga (EKEI)“, viitenumber: 299040, (edaspidi riigihange) tulemusena.
1.2. Lepingu esemeks on kvadrupool-lennuaja massispektromeeteri koos vedelikkromatograafiga
ostmine (edaspidi nii ainsuses kui mitmuses nimetatud asi). Asja täpsem kirjeldus on toodud
riigihanke alusdokumentides ja müüja pakkumuses.
1.3. Asja ostu rahastatakse riigieelarvest ja/või Sisejulgeolekufondi ISF raames.
1.4. Lepingu dokumendid, mis on lepingu lahutamatuteks osadeks, on järgmised:
1.4.1. lepingu muudatused;
1.4.2. käesolev lepingu põhitekst koos lisadega;
1.4.3. ostja poolt riigihanke menetluses antud selgitused ulatuses, milles need ei muuda, vaid
üksnes täpsustavad või selgitavad riigihanke alusdokumente;
1.4.4. muud riigihanke alusdokumendid, sh tehniline kirjeldus koos selle lisadega;
1.4.5. müüja pakkumus.
1.5. Kui lepingu dokumentide vahel esineb vastuolusid, lähtutakse prioriteetsuse määramisel eelmises
punktis toodud lepingu dokumentide loetelu järjekorrast (loetelus eespool asetsev lepingu dokument
on prioriteetsem järgneva suhtes). Riigihanke alusdokumentide vastuolude korral on nende
prioriteetsuse järjekord järgmine: hanketeade, hankelepingu eseme tehniline kirjeldus, muud
riigihanke alusdokumendid
1.6. Lepingul on selle sõlmimise hetkel järgmised lisad:
1.6.1. Lisa 1 - seadmete hooldusgraafik;
2. Lepingu hind ja tasumise tingimused
2.1. Ostja tasub müüjale lepingutingimustele vastava asja eest vastavalt müüja poolt riigihankes esitatud
pakkumuses fikseeritud kogumaksumusele 344 800,00 eurot, mis ei sisalda käibemaksu (edaspidi
lepingu hind). Lepingu hinnale lisandub käibemaks õigusaktides sätestatud korras.
2.2. Ostja tasub lepingu hinna ühes osas pärast asja vastuvõtmist.
2.3. Pärast asja ostja poolt vastuvõtmist esitab müüja ostjale arve e-arvena. Arvele tuleb märkida
riigihanke viitenumber 299040, 15-kohaline lepinguosa viitenumber (leitav riigihangete registrist
lepingu juurest) ning ostja ja müüja kontaktisikute andmed. Arve maksetähtaeg peab olema vähemalt
21 kalendripäeva arve esitamisest.
2.4. Lepingu hind on lõplik ja sisaldab kõiki lepingu täitmise kulusid, sh tasu intellektuaalomandiõiguste
eest, asja saatekulu ja kohaletoimetamist ostja asukohta, sh kõiki sellega kaasnevad vormistusi ja
kulusid (nt toll, riigilõiv, litsents jne), asja paigaldamist ja kõiki müüja toiminguid, mis on sätestatud
riigihanke alusdokumentides (sh garantii, hooldus, koolitus).
2.5. Müüjal ei ole lepingu kehtivuse ajal õigust asja hinda tõsta või hinnatingimusi muuta selliselt, et
sellega kaasneb asja hinna või lepingu hinna suurenemine.
3. Asja üleandmine
3.1. Müüja annab ostjale üle asja, mille kvaliteet, kogus, omadused ja muud tingimused vastavad
riigihanke alusdokumentides, müüja esitatud pakkumuses ja lepingus sätestatule. Riigihanke
alusdokumentides, müüja esitatud pakkumuses ja lepingus määratlemata omaduste osas peab asi

sobima eriliseks otstarbeks, milleks ostja seda vajab ja mida müüja lepingu sõlmimisel teadis või pidi
teadma, erilise otstarbe puudumisel aga otstarbeks, milleks seda liiki asju tavaliselt kasutatakse.
Ostjale üleantav asi peab olema vähemalt keskmise kvaliteediga ja vastama sarnastele asjadele
tavaliselt esitatavatele nõuetele.
3.2. Pärast asja paigaldamist ja töökorras oleku testimist viib müüja läbi kasutajakoolituse vähemalt
kolmele ostja poolt määratud isikule. Koolituse täpse ajakava ja toimumise aja ning täpse
koolitatavate arvu lepivad pooled kokku asja üleandmisel. Kõik koolitusega seonduvad kulud
sisalduvad lepingu hinnas.
3.3. Kasutajakoolituse peab läbi viima vastava väljaõppe saanud spetsialist tootjafirma või sellega
võrdsustatud koolitusprogrammi alusel. Koolituse järgselt antakse üle inglise ja eestikeelsed
kasutusjuhendid, nii paberkandjal kui ka elektroonselt, mis käsitlevad kõiki seadmete tööprotsesse.
3.4. Müüjal peavad olemas olema intellektuaalomandiõigused lepingu täitmiseks.
3.5. Müüja annab asja ostjale üle ostja asukohas aadressil Tervise 20, Tallinn, Eesti ning teostab
seadmete paigalduse, töökorras oleku testimise ja hiljemalt kolme kuu jooksul lepingu sõlmimisest.
3.6. Müüja kannab kõik kulud, mis seonduvad asja üleandmise kohustuse täitmisega kokkulepitud
aadressil, sh kulud, mis seonduvad asja transpordiga kokkulepitud aadressile. Asja täpne üleandmise
(kella)aeg lepitakse kokku poolte kontaktisikute poolt.
3.7. Asi (sh selle osa) loetakse müüja poolt üleantuks ja ostja poolt vastu võetuks üleandmise-
vastuvõtmise akti allkirjastamisega. Asja juhusliku hävimise ja kahjustumise riisiko ja asja
omandiõigus läheb ostjale üle asja ostjale üleandmisega. Koos asjaga annab müüja ostjale üle ka kõik
asjaga seotud, sh selle eesmärgipärast kasutamist võimaldavad, tavapäraselt selliste asjadega koos
üleantavad ja muud asjakohased dokumendid (nt sertifikaat, seadmete tehniline dokumentatsioon,
kasutusjuhend, hooldusjuhend vms).
3.8. Ostja peab ostetud asja üle vaatama viie kalendripäeva jooksul arvates asja ostjale üleandmisest
(VÕS § 219 lg 1). Ostjal on õigus mõjuval põhjusel, sealhulgas kui asjal on olulisi nähtavaid puudusi,
asja ülevaatamise tähtaega pikendada viie kalendripäeva võrra, teavitades sellest müüja
kontaktisikut.
3.9. Ostja peab asja lepingutingimustele mittevastavusest müüjale teatama 30 kalendripäeva jooksul
arvates puuduse avastamisest ning teates vastavat puudust piisavalt kirjeldama.
3.10. Kui asi ei vasta lepingutingimustele, on ostjal õigus keelduda asja vastuvõtmisest ja/või muude
omapoolsete kohustuste täitmisest vastavalt VÕS §-dele 110 ja 111. Ostja ei või siiski asja
vastuvõtmisest ja kogu lepingu hinna tasumisest keelduda, kui müüja on oma kohustuse oluliste
puudusteta täitnud, viimasel juhul on ostjal õigus keelduda lepingu hinna või selle osa tasumisest
vaid puudustele vastavas osas, kuid igal juhul vähemalt lepingu hinnast 10% ulatuses.
4. Garantii ja hooldus
4.1. Müüja annab asjale riigihanke alusdokumentides sätestatud kehtivusajaga garantii vähemalt 24
kuud, mis hakkab kehtima alates asja otsese valduse üleminekust ostjale, kui garantiikirjas või muus
dokumendis ei ole ette nähtud garantiitähtaja ostjale soodsamat algust.
4.2. Garantii katab kõiki selle kehtivuse ajal asjal ilmnenud lepingutingimustele mittevastavusi. Müüja
on kohustatud garantii alusel asja tasuta asendama, parandama ja hooldama, et tagada selle vastavus
lepingutingimustele.
4.3. Ostja esitab nõude garantii alusel müüja kontaktisikule garantiiaja lõpuks. Müüja on kohustatud ostja
garantiipretensioonile vastama esimesel võimalusel, kuid mitte hiljem kui 7 kalendripäeva jooksul
arvates teate saamisest.
4.4. Kui asi vajab garantiihooldust, siis vastutab garantiihoolduse jälgimise, kontrollimise ning
läbiviimise eest müüja.
4.5. Garantii raames asendatud asjale antakse algse garantiiga sama kestusega uus garantii. Asja
parandamise korral pikeneb garantii parandamise aja kestuse võrra.
4.6. Garantii laieneb kõikidele asja osadele. Garantiiremont hõlmab nii kulusid defektse osa asendamisele
uuega kui ka teostatavatele parandustöödele. Garantii kohaselt parandamisele kuuluva asja transport
remondikohta ja tagasi toimub müüja kulul.

4.7. Remonditeenuse osutamisele kehtib töövõtugarantii 12 kuud ning teenuse osutamise käigus müüdud
detailide ja varuosade müügigarantii vähemalt 24 kuud. Müüja võib anda garantii ostjale soodsamatel
tingimustel.
4.8. Müüja pakub ostjale kogu lepinguperioodi kestel lepingu esemeks oleva asja tehnilist kasutajatuge
telefoni ja e-posti teel, ilma selle eest täiendavat tasu nõudmata. Müüja tagab, et tal on tootja poolt
volitatud tehnilise toe võimekus Eestis. Müüja kasutajatugi peab ostja nõudele vastama esimesel
võimalusel, kuid mitte hiljem kui 24 tunni jooksul arvates teate saamisest.
4.8.1. Müüja peab tagama kogu lepinguperioodi kestel hooldust ja remonti teostava hooldusüksuse (sh
hooldusinseneri), kes on nii telefoni kui e-maili teel kättesaadav ja vajadusel valmis asja
ülevaatamiseks (visiit kohapeale) väljakutsele reageerima 48 tunni jooksul.
4.9. Müüja peab tagama, et asja garantiitöid, sh hooldust teostab pakkumuses esitatud tootjapoolse
väljaõppega hooldusinsener isikulikult vastavalt oma erialastele teadmistele, oskustele ja võimetele.
4.10. Garantii ei välista ega piira ostja õigust kasutada muid seadusest või lepingust tulenevaid
õiguskaitsevahendeid.
4.11. Müüja teostab garantii perioodil seadmetele korralise hoolduse. Müüja esitab garantiiperioodil toimuvate
korraliste hooldustööde graafiku ja loetelu enne hankelepingu sõlmimist. Hooldustööde graafiku
muutmine on lubatud kirjalikku taasesitamist võimaldavas vormis. Garantiiperioodil teostab müüja
hooldustöid ning tagab vajalikud varuosad omal kulul.
4.12. Müüja kohustub pakkuma seadmetele hooldusteenust ja varuosi ka pärast garantiiperioodi lõppu.
Hooldusteenuse tingimused (sh tööde maht, reageerimisajad ja hinnad) lepitakse kokku eraldi
hoolduslepingus või tellitakse Müüja kehtiva hinnakirja alusel.
5. Alltöövõtt
5.1. Müüja kohustub esitama pärast lepingu sõlmimist riigihangete registri töölehel „Alltöövõtjad“ iga oma
alltöövõtja, kellega sõlmitud alltöövõtulepingu käibemaksuta maksumus ületab 50 000 eurot, nime ja
registrikoodi ning alltöövõtulepingu nimetuse, kuupäeva, numbri ja summa.
6. Poolte vastutus ja vääramatu jõud
6.1. Pooled vastutavad lepingust tulenevate kohustuste täitmata jätmise või mittekohase täitmisega teisele
poolele tekitatud kahju eest täies ulatuses.Poole koguvastutus lepingu alusel on piiratud kahekordse
lepingu hinnaga, välja arvatud, kui lepingurikkumine on tahtlik või põhjustatud raskest hooletusest.
6.2. Kui pool rikub lepingut, on teisel poolel õigus kasutada õiguskaitsevahendeid, sealhulgas nõuda
kohustuse täitmist, kahju hüvitamist, alandada hinda ja/või taganeda lepingust. Kui sama rikkumise
korral on võimalik kasutada erinevaid õiguskaitsevahendeid, valib kasutatava(d)
õiguskaitsevahendi(d) selleks õigustatud pool.
6.3. Kui asi ei vasta lepingutingimustele, on ostjal õigus nõuda müüjalt asja asendamist või parandamist,
kui see on võimalik ja sellega ei põhjustata müüjale võrreldes teise õiguskaitsevahendi (vastavalt kas
asendamisnõude või parandamisnõude) kasutamisega ebaproportsionaalseid kulusid VÕS § 222 lg 1
tähenduses. Asja parandamise või asendamise nõue tuleb esitada üheaegselt teatega asja puuduste
kohta või mõistliku aja jooksul pärast teate esitamist. Müüja kannab kõik asja parandamise või
asendamisega seotud kulud.
6.4. Ostjal on õigus lepingust taganeda VÕS §-s 116 ja §-s 223 sätestatud alustel ja korras, samuti kui:
6.4.1. müüja ei anna asja ostjale üle kokkulepitud ajal ning ei täida üleandmiskohustust ka ostja
poolt määratava 14-päevase täiendava tähtaja jooksul;
6.4.2. ostja on põhjendatult nõudnud asja asendamist või parandamist, kuid müüja ei asenda või
paranda asja 14 päeva jooksul arvates ostjalt vastava nõude saamisest;
6.4.3. müüja rikub ükskõik millist kohustust ja ei kõrvalda rikkumist ostja poolt antud 14-päevase
täiendava tähtaja jooksul.
6.5. Müüjal on õigus lepingust taganeda VÕS §-s 116 sätestatud alustel ja korras, samuti kui:
6.5.1. ostja viivitab müüja esitatud arve tasumisega enam kui 21 päeva ja ei lõpeta rikkumist
müüja poolt määratava 14-päevase täiendava tähtaja jooksul.

6.6. Kui ostja võtab puudustega asja vastu, st ostja ei nõua asja parandamist või asendamist ega tagane
lepingust, on ostjal õigus alandada hinda VÕS § 223 lg-s 1 nimetatud juhtudel vastavalt VÕS §-s 112
sätestatule, esitades selleks müüjale hinna alandamise avalduse.
6.7. Kui müüja ei anna asja ostjale üle või annab üle lepingutingimustele mittevastava asja, on ostjal
lisaks muude õiguskaitsevahendite kasutamisele õigus nõuda müüjalt leppetrahvi kuni 5% lepingu
hinnast iga rikkumise kohta.
6.8. Kui müüja ei anna asja ostjale üle kokkulepitud tähtpäevaks, on ostjal õigus nõuda müüjalt
leppetrahvi 0,05% lepingu hinnast iga üleandmisega viivitatud päeva eest, kuid mitte rohkem kui 5%
lepingu hinnast.
6.9. Kui müüja ei täida lepinguga võetud kohustusi ja ostja taganeb lepingust, on ostjal õigus osta asi
kolmandalt isikult ning nõuda müüjalt kolmandale isikule asja eest makstud summa (st
asendustehingu hinna) ja lepingu hinna vahe hüvitamist VÕS § 135 järgi. See ei piira ostja poolt
muude õiguskaitsevahendite kasutamist, sealhulgas leppetrahvi(de) nõudmist.
6.10. Kui ostja viivitab lepingus sätestatud rahaliste kohustuste täitmisega, on müüjal õigus nõuda ostjalt
viivist 0,05% tähtpäevaks tasumata summalt iga viivitatud päeva eest.
6.11. Lepingus sätestatud konfidentsiaalsuskohustuse rikkumisel müüja või tema esindaja, töötaja,
lepingupartneri või muu isiku poolt, keda ta oma kohustuste täitmisel kasutab, on ostjal igakordselt
õigus nõuda müüjalt leppetrahvi 30 000 eurot ja/või lepingust taganeda.
6.12. Leppetrahvi nõudmine ei mõjuta poole õigust kasutada teisi õiguskaitsevahendeid. Kõik leppetrahvid
on kokku lepitud eesmärgiga tagada kohustuse täitmist, mitte eesmärgiga asendada kohustuse
täitmist. Poolel tuleb teavitada teist poolt leppetrahvi nõudmisest 90 päeva jooksul alates
lepingurikkumisest teadasaamisest.
6.13. Leppetrahvid ja viivised tuleb tasuda 14 kalendripäeva jooksul vastava nõude saamisest. Ostjal on
õigus asja eest tasumisel tasaarvestada leppetrahvisumma lepingu alusel tasumisele kuuluva
summaga.
6.14. Pooled ei vastuta lepingust või õigusaktist tuleneva kohustuse rikkumise eest, kui kohustuse
rikkumise põhjustas vääramatu jõud. Vääramatu jõu ja rikkumise vabandatavuse osas kohaldavad
pooled VÕS §-s 103 sätestatut.
6.16.1 Vääramatuks jõuks ei loeta pakkumuste esitamise tähtpäeva seisuga õigusaktidega
kehtestatud piiranguid. Vääramatu jõu kohaldumise üheks eelduseks on asjaolu
ettenägematus. Pakkumuste esitamise tähtpäeva seisuga kehtivad piirangud olid lepingu
pooltele teada ning kõik tegevused planeeriti arvestades pakkumuste esitamise tähtpäeva
seisuga kehtivat olukorda.
6.16.2 Kui kehtestatakse täiendavaid piiranguid, mis takistavad lepingu täitmist, on poolel
õigus tugineda vääramatule jõule, kui kõik vääramatule jõule tuginemise eeldused on
täidetud.
6.16.3 Seoses lepingu täitmist takistada võiva pandeemia või muu kriisiga on vääramatuks
jõuks üksnes see, kui lepingu täitmist takistab riigiasutuse kohustusliku iseloomuga
korraldus või muu regulatsioon. Riigiasutuste soovitused ei ole vääramatuks jõuks.
6.16.4 Kui lepingu täitmine on takistatud vääramatu jõu mõju tõttu, lükkuvad lepingus
sätestatud tähtajad edasi aja võrra, mil vääramatu jõud kohustuse täitmist takistas.
7. Teadete edastamine
7.1. Teadete edastamine toimub üldjuhul kirjalikku taasesitamist võimaldavas vormis. Juhul kui teate
edastamisel on olulised õiguslikud tagajärjed, peavad teisele poolele edastatavad teated olema
kirjalikus vormis, muu hulgas näiteks lepingu lõpetamise avaldus, poole nõue teise poole vastu jmt.
Kirjaliku vormiga on võrdsustatud digitaalselt allkirjastatud vorm.
7.2. Lepinguga seotud teated edastatakse teisele poolele lepingus sätestatud kontaktisiku
kontaktandmetel. Kontaktandmete muutusest on pool kohustatud koheselt informeerima teist poolt.
Kuni kontaktandmete muutusest teavitamiseni loetakse teade nõuetekohaselt edastatuks, kui see on
saadetud poolele lepingus sätestatud kontaktandmetel.
7.3. Kirjalik teade loetakse poole poolt kättesaaduks, kui see on üle antud allkirja vastu või kui teade on
saadetud postiasutuse poolt tähitud kirjaga poole poolt teatatud aadressil ja postitamisest on

möödunud viis kalendripäeva. E-posti teel, sh digitaalselt allkirjastatud dokumentide saatmisel
loetakse teade ja dokumendid kättesaaduks e-kirja saatmisele järgneval tööpäeval.
7.4. Poolte kontaktisikud on:
7.4.1. Müüja kontaktisikuks lepingu täitmisega seotud küsimustes on Martin Lepiku, telefon 506 7259, e-

[email protected]. Müüja kontaktisikul on õigus esindada müüjat kõikides lepingu täitmisega
seotud küsimustes. Lepingu muutmise, lepingu lõpetamise ning õiguskaitsevahendite kasutamise
osas on müüja kontaktisikul õigus esindada müüjat ainult müüja esindusõigusliku isiku kirjaliku
volituse olemasolul.
7.4.2. Ostja kontaktisikuks lepingu täitmisega seotud küsimustes on Ain Lepikult, telefon 663 6622, e-post
[email protected]. Ostja kontaktisikul on õigus esindada ostjat kõikides lepingu täitmisega seotud
küsimustes. Lepingu muutmise, lepingu lõpetamise ning õiguskaitsevahendite kasutamise osas on
ostja kontaktisikul õigus esindada ostjat ainult ostja esindusõigusliku isiku kirjaliku volituse
olemasolul.
8. Konfidentsiaalsus ja andmekaitse
8.1. Müüja kohustub lepingu kehtivuse ajal ning pärast lepingu lõppemist tähtajatult hoidma
konfidentsiaalsena ja mitte avaldama talle seoses lepingu täitmisega teatavaks saanud ostjat või muid
isikuid puudutavaid mis tahes andmeid, asjaolusid ning dokumente, mille konfidentsiaalsena
hoidmise vastu on ostjal õigustatud huvi, sealhulgas neid, mille avalikuks tulek võib kahjustada ostja
huve. Konfidentsiaalne informatsioon ei hõlma andmeid, asjaolusid ega dokumente, mis on
avalikud, st üldsusele kättesaadavad.
8.2. Müüja võib konfidentsiaalset informatsiooni avaldada kolmandatele isikutele vaid ostja eelneval
kirjalikku taasesitamist võimaldavas vormis nõusolekul. Samuti võib müüja informatsiooni
avaldada:
8.2.1. isikutele, kellele informatsiooni avaldamise kohustus tuleneb õigusaktidest, kuid seda
tingimusel, et ta avaldab vaid vältimatult vajalikus ulatuses informatsiooni, tagades
maksimaalses võimalikus ulatuses informatsiooni konfidentsiaalsuse;
8.2.2. isikutele, kellele informatsiooni avaldamine on vajalik lepingu täitmiseks ja keda on
teavitatud, et vastav informatsioon on konfidentsiaalne ja nad on seotud
konfidentsiaalsuskohustusega;
8.2.3. audiitoritele, advokaatidele, pankadele, kindlustusandjatele või teenusepakkujatele, kes on
seotud konfidentsiaalsuskohustusega.
8.3. Müüja võib konfidentsiaalset informatsiooni kasutada üksnes kitsalt käesoleva lepingu täitmiseks
ning müüjal ei ole õigust kasutada konfidentsiaalset informatsiooni muul eesmärgil, sh kasu
saamise eesmärgil või kolmandate isikute huvides.
8.4. Müüja kohustub tagama, et tema esindajad, töötajad, lepingupartnerid ning muud isikud, keda ta oma
kohustuste täitmisel kasutab, oleksid lepingus sätestatud konfidentsiaalsuskohustusest teadlikud ja
nõudma nimetatud isikutelt selle kohustuse tingimusteta ja tähtajatut täitmist.
8.5. Müüja kohustub tagama lepingu täitmise käigus isikuandmete töötlemise õiguspärasuse ning
vastavuse isikuandmete kaitse üldmääruses (EL 2016/679) ja teistes andmekaitse õigusaktides
sätestatud nõuetele, sh rakendama organisatsioonilisi, füüsilisi ja infotehnoloogilisi turvameetmeid
konfidentsiaalsete andmete kaitseks juhusliku või tahtliku volitamata muutmise, juhusliku
hävimise, tahtliku hävitamise, avalikustamise jms eest. Kui kolmandale isikule avaldatakse
lepingus sätestatud või õigusaktist tulenevate kohustuste täitmiseks isikuandmeid, on müüja
kohustatud tagama, et isik, kellele isikuandmeid avaldatakse, järgib lepingus ja õigusaktides
sätestatud isikuandmete töötlemise nõudeid.
8.6. Müüjal ega müüjaga seotud isikutel ei ole õigust anda lepingu raames teateid pressile, meediale,
üldsusele või teistele auditooriumidele ilma ostja eelneva kirjalikku taasesitamist võimaldavas
vormis antud nõusolekuta. Meediapäringute korral tuleb müüja vastus kooskõlastada ostjaga.
9. Lepingu kehtivus, muutmine ja lõpetamine

9.1. Leping jõustub allkirjastamisest poolte poolt ja kehtib lepingust tulenevate kohustuste täieliku ja
kohase täitmiseni. Lepingu lõppemine ei mõjuta selliste kohustuste täitmist, mis oma olemuse tõttu
kehtivad ka pärast lepingu lõppemist.
9.2. Kumbki pool ei tohi lepingust tulenevaid õigusi ega kohustusi üle anda ega muul viisil loovutada
kolmandale isikule ilma teise poole eelneva kirjaliku nõusolekuta.
9.3. Pooltel on õigus lepingut muuta RHS § 123 lg 1 p 2 alusel, kui:
9.3.1. lepingu sõlmimise viibimise tõttu, sh tulenevalt riigihankega seonduvatest võimalikest
vaidlustus- ja kohtumenetlustest, ei osutu võimalikuks lepingu täitmisega alustamine
selliselt, et oleks võimalik järgida lepingu tähtaegu, alustatakse lepingu täitmisega ostja
nimetatud kuupäeval pärast viivitust põhjustanud asjaolu äralangemist. Sellisel juhul
lükatakse edasi ka lepingu lõppkuupäeva perioodi võrra, mille osas lepingu täitmisega
alustamine viibis
9.3.2. lepingu täitmise ajal esinevad inimeste tervise ja ohutu elukeskkonna tagamise vajadusest
tingitud põhjused (nt COVID-19 sarnane haiguspuhang, sõjategevus, keemia- või
loodusõnnetus vms) või pannakse õigusaktiga kehtima lepingu pooltele kohustuslikud
lepingu täitmist takistavad meetmed (nt kehtestatakse riikliku eriolukord ja sellega
seonduvad liikumis- või kogunemispiirangud), mistõttu ei osutu võimalikuks lepingu
täitmine lepingus sätestatud tingimustel või mõistlike alternatiivsete meetoditega, on
pooltel õigus muuta lepingus esitatud aja- ja/või tegevuskava ja/või pikendada lepingu
täitmise tähtaega proportsionaalselt lepingu täitmist takistanud asjaolude esinemise aja
võrra.
9.4. Ostjal on õigus leping mis tahes ajal mõjuva põhjuse olemasolul ühepoolselt lõpetada, eelkõige kui
tal puuduvad lepingu täitmiseks rahalised vahendid või kaob vajadus asja järele. Ostja teatab
müüjale lepingu ühepoolsest lõpetamisest kirjalikult ette vähemalt 30 kalendripäeva. Kui ostja
lõpetab lepingu käesoleva sätte alusel ühepoolselt, on müüjal õigus nõuda ostjalt lepingu täitmiseks
tegelikult kantud ja tõendatud mõistlike kulude hüvitamist, kuid seda mitte enam kui lepingu
hinnast 10% ulatuses.
10. Lõppsätted
10.1. Pooled juhinduvad lepingu täitmisel Eesti Vabariigis kehtivatest õigusaktidest. Kui lepingu mõni
säte osutub vastuolus olevaks Eestis kehtivate õigusaktidega, ei mõjuta see ülejäänud sätete
kehtivust.
10.2. Müüja on teadlik, et leping on avaliku teabe seaduses sätestatud ulatuses avalik.
10.3. Lepigu täitmise keel on eesti keel.
10.4. Lepinguga seotud vaidlused, mida pooled ei ole suutnud läbirääkimiste teel lahendada,
lahendatakse Harju Maakohtus.
