The Estonian Commercial Code changed at 2006 and since 1.01.2007 the registrar is removing the data of fields of activities from registry cards. In your case it happened at 4.12.2008. The articles of assosiation is the main Document for the shareholders, members of the board and employees in Estonia too. But the data of the fields of activities written in AoA is not mandatory for named persons – the shareholders may changes the fields of activities by their decision.

Is is a correct interpretation that the “fields of activities” stated in the Articles of Association ( “põhikiri” in Estonian, “bolagsordning” in Swedish ) have never been amended since the formation of the company (i.e. they have been the same from 10.11.2005 until the company went into bankruptcy in 2016 and was deleted from company registry in 2017)?
And that the change implemented on 4 December 2008 did not in any way change or invalidate the “fields of activities” for the company stated in the Articles of Association.

Thank you for the letter.
As of January 1, 2007, the data of the activity (fields of activities) no longer have legal significance, it is only an informative and statistical type of data. As a result, the activities (fields of activities) of the company are no longer entered on the registry card.
Considering the change in the law, a corresponding change was made in the registration data of your company. In other words, on 4 December 2008, all activities were deleted from the registry card.

I am former director in Antilu Services OÜ (11184546) (Deleted)
According to our Articles of Association (in Swedish “Bolagsordning”) it has according to your database been the same from 10.11.2005 until 30.03.2017 when the company was deleted after bankruptcy.
In our Article of Association a number of “fields of activities” were decided. However according to your database “Tegevusalad registrikaardil” the “fields of activities” were canceled on 04.12.2008 (start date 10.11.2005 , end date 04.12.2008 )
According to my knowledge I as former director have never decided to change or amend the “fields of activities” and therefor wonder if it is an error in your database, because I never intentionally changed the “fields of activities” from what was stated in the initial “Articles of Association” for the company.
Please explain.
Since bankruptcy manager had no objections after the bankruptcy I interpret that the bankruptcy manager decided that our business had been conducted in line with what was decided in the “Articles of Association” that was still valid by the time the company was declared bankrupt.
According to Swedish law, what is stated in the valid “Articles of Association” is the areas of activity that is allowed for the director in the company to act within. Maybe there is some other explanation for the deviation between the valid “Article of Association” and what is included in your database under “Tegevusalad registrikaardil”.
