Leping pikeneb automaatselt kahe aasta võrra, kui Tellija ei ole hiljemalt kaks (2) kuud enne Lepingu lõpptähtaega t eatanud soovist Leping lõpetada. Ettemaks Ettemaksu tegemine töövõtjale Ei tehta Ettemaksu suurus juhul, kui ettemaksu makstakse - Materjalide säilitamine Töövõtja annab Tellija valdusesse kõik tööde käigus eemaldatavad seadmed J ah Tagatised Täitmisaja tagatis Nõutav 10% lepingu hinnast Projekteerija erialase vastutuskindlustuse nõutavus ja omavastutuse suurus MACROBUTTON AcceptAllChangesInDoc nõutav Omavastutuse määrab töövõtja Ehituse koguriskikindlustuse nõutavus ja omavastutuse suurus MACROBUTTON AcceptAllChangesInDoc nõutav Omavastutuse määrab töövõtja Tsiviilvastutuskindlustuse nõutavus ja omavastutuse suurus MACROBUTTON AcceptAllChangesInDoc nõutav Omavastutuse määrab töövõtja Tsiviilvastutuskindlustuse lepingu minimaalne suurus 1 000 000 eurot Garantiiaja tagatise nõutavus MACROBUTTON AcceptAllChangesInDoc nõutav 5% lepingu hinnast Lepingu dokumendid Lepingul on selle sõlmimise hetkel järgmised lisad: Lisa 1 – Töövõtja esitatud hinnapakkumus; Lisa 2 – Tööde tehniline kirjeldus. Leping on sõlmitud avatud hankemenetluse „ Ülesõitude moderniseerimise raamleping “ ( viitenumber 203775 ) tulemusena. Muud eritingimused Tellijal on õigus töid tellida väiksemas mahus võrreldes TK Lisas 1 tooduga . Tellija tellib tööd T öövõtjalt tellimiskirja alusel. Tellija esitab T öö võtjale 2019. aastal tellitavate tööd e tellimiskirja hiljemalt 5 (viie) tööpäeva jooksul alates lepingu sõlmimisest. Järgnevatel aastatel tellitavate tööde kohta esitab Tellija T öövõtjale tellimiskirja hiljemalt sama aasta 15. jaanuariks. Tellijal on õigus HD Lisa 13 ülesõidu hinna alusel osta täiendavalt juurde kuni 20 ülesõi d u seadet koos „võtmed kätte“ lahendusega . Tellija võimaldab T öövõtjal kasutada HD Lisas 1 p unktis 5.1.1 - 1 nimetatud tooteid ning selle võimaluse kasutamisel tehakse tasaarveldus. Intellektuaalse omandi õiguste osas on pooled täiendavalt lepingu üldtingimuste peatükile 14 kokku leppinud alljärgnevas: Töövõtja kohustub lahendama omal kulul kõikvõimalikud litsentseeritud või vahendatud tarkvaraga seotud intellektuaalse omandi õigustest tekkivad vaidlused kolmandate isikute või oma töötajate või koostööpartneritega . K ui Töövõtja poolsetest litsentseerimisvigadest tulenevalt tekib Tellijale rahaline või muu kohustus või kui Tellija on kohustatud lõpetama t arkvara kasutamise , on Tellijal õigus nõuda Töövõtja lt selle rahalise või muu kohu stuse täitmist ja/või kaotatud t arkvaraga samaväärse tulemi loomist tasuta või tellida vastav tulem kolmandalt isikult. Kui Tellija tellib tule mi kolmandalt isikult, on Töövõtja kohustatud Tellijale hüvitama kõik sellega seotud kulutused, sh tulemi arendamishinna . Töövõtja annab Tellijale lepingu alusel üleantavale tarkvarale Eesti Vabariigi territooriumil kehtiva tagasivõtmatu lihtlitsentsi kõikide isiklike ja varaliste autoriõiguste suhtes nende õiguste kehtivuse tähtajaks alljärgnevas ulatuses: t arkvara kasutada Tellija Tingimustes ( TK-s ) fikseeritu d eesm ärkidel ja viisil; tarkvara reprodutseerida; ise või kolmandaid isikuid kaasates tarkvara muuta ja /või luua tarkvaral põhinevaid tuletatud teoseid. Selle õiguse kasutamisel ei tohi Tellija eemaldada autoriõiguse märkeid, kui neid esineb lähtekoodis, mida kasutatakse tuletatud teose kirjutamisel ; anda all-litsentse tarkvara või selle koopiate suhtes kehtivate õiguste kohta . Litsents loetakse Tellijale antuks tööde või selle osa (etapi), mille raames juurutatakse ka kõnealune tarkvara, eest tasumisega. Täitja tagab Tellijal e kõik vajalikud autoriõigused lepingu täitmise käigus juurutatava t arkvara kontrollimiseks, testimiseks ning süsteemi paigutamiseks ajaks, kuni Tellija ei ole üleandmise-vastuvõtmise aktiga lepingu eset vastu võtnud . Tasu i ntellektuaalse omandi õiguste litsentside eest sisaldub pakkumuse maksumuses ning Täitjal ei ole õigust nõuda täiendavat tasu nende õiguste litsentsimise eest (sh lepingu sõlmimise ajal tundmatute kasutusviiside lubamise eest tulevikus) . Other special conditions The contracting entity shall have the right to order works in a smaller volume than provided in Annex 1 to the T S . The contracting entity shall order works from the contractor based on a written order. The contracting entity shall submit the written order for works for the year 2019 to the contractor within 5 (five) working days as of the date of signing the Contract. For works to be ordered in subsequent years, the contracting entity shall submit the written order to the contractor by January 15 of the same year. The contracting entity shall have the right to purchase up to 20 additional units of level crossing equipment with a turn-key solution at the price of a level crossing indicated in Annex 13 to the PD . The contracting entity shall enable the contractor to use the products provided in Clause 5.1.1 -1 of Annex 1 to the PD and, upon using this opportunity, a set-off shall be made. Regarding intellectual property rights, in addition to Chapter 14 of the Contract containing the g eneral c onditions, the p arties have agreed on the following : The contractor shall resolve all disputes with third parties or their employees or cooperating partners regarding intellectual property rights originating from licenced or mediated software at its own cost . Should a monetary or other obligation arise from licencing mistakes by the contractor, or if the contracting entity is required to discontinue using the software, the contracting entity shall have the right to require the performance of this monetary or other obligation from the contractor and or the generation of a result equivalent with the software, free of charge, or to order the relevant result from a third party. Should the contracting entity order the result from a third party, the contractor shall compensate the contracting entity all related expenses, including the development cost of the result. The contractor shall grant the contracting entity an irrevocable non-exclusive licence valid on the territory of the Republic of Estonia regarding all personal and proprietary copyrights on the software, delivered under the Contract for the duration of these rights to the following extent: T o use the software for the purposes and in the manner provided in the contracting entity's requirements (T S ); T o reproduce the software; With the Contractor's prior consent, to make amendments to the software and or create software-based derivative works by itself or by involving third parties. When using this right, the contracting entity may not remove copyright notices, should these be included in the source code, used to write the derivative works; T o grant sub-licences for the rights governing the software or its copies. The licence is considered to be granted to the contracting entity with payment for the works or a part thereof (stage) for which the relevant software is implemented. The contractor shall provide the contracting entity with all required copyrights for the software, implemented in the performance of the Contract, for inspecting, testing and installing it in the system, for the time that the contracting entity has not accepted the subject-matter of the Contract based on an instrument of delivery and receipt . The fee for licences for intellectual property rights is included in the value of the tender, and the contractor shall not have the right to require an additional fee for licencing these rights (including permitting future applications, unknown at the time of entering into the Contract).
